Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and SAGEX Solutions LLC, which operates the SAGEX brand ("SAGEX," "we," "us," or "our"). These Terms govern your access to and use of sagexcrs.com and any content, digital products, forms, communications, or services that link to these Terms (collectively, the "Services").
By accessing or using the Services, submitting a form, or completing a purchase, you agree to these Terms and our Privacy & Cookie Policy and Refund & Cancellation Policy. If you do not agree, do not use the Services.
Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use or purchase the Services. If you act for an organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization.
Website information and educational resources
Public website content and general digital resources are provided for educational and informational purposes. They are not medical, legal, financial, employment, regulatory, or other licensed professional advice. They do not replace a protocol, informed-consent document, sponsor or CRO instruction, investigator direction, IRB requirement, institutional policy, applicable law, or advice from a qualified professional. See the separate Disclaimer, which is incorporated into these Terms.
Consulting and other paid services
Browsing the website, joining an email list, downloading free content, or purchasing a general digital product does not create a consulting, healthcare-provider, attorney-client, employment, fiduciary, or similar professional relationship. Paid consulting, training, facilitation, or customized services may require a proposal, statement of work, service agreement, or other written terms. If those written terms conflict with these Terms, the signed written terms control for that engagement.
Orders, pricing, and payment
Prices, descriptions, availability, and promotional terms may change before purchase. You agree to provide accurate billing and contact information and authorize the applicable payment processor to charge the displayed amount, including applicable taxes and disclosed fees. SAGEX may correct pricing or description errors and may reject or cancel an order for suspected fraud, unauthorized activity, technical error, unavailability, or other legitimate business reasons. If we cancel an order after payment, we will refund the amount charged for the canceled item or service.
Digital delivery
Digital products are delivered electronically through a download link, account, or other method stated at checkout. You are responsible for providing a working email address, downloading files within any stated access period, and maintaining compatible software and secure backups. Contact hello@sagexcrs.com if a purchased file is missing, corrupted, or materially different from the product description.
Digital product license
Unless a product page or written agreement grants broader rights, each digital product is licensed, not sold, to the individual purchaser for that purchaser's personal educational or internal professional use. The license is limited, nonexclusive, nontransferable, nonsublicensable, and revocable if these Terms are violated. You may complete, annotate, and adapt a template for your own permitted use, but SAGEX retains ownership of the underlying content, design, structure, and intellectual property.
You may not share a purchased file or download link with another person; post it to a shared drive, website, course platform, social network, or repository; reproduce or distribute it outside the licensed use; sell, rent, sublicense, or give it away; remove copyright, trademark, or attribution notices; create or market a competing or substantially similar product from it; use it to train or develop an artificial intelligence or machine-learning system; or use automated tools to scrape, extract, or systematically reproduce SAGEX content. Team, organization-wide, classroom, resale, and commercial redistribution rights require express written permission or a separate license. Rights provided by law, including applicable fair-use rights, are not restricted beyond what the law permits.
Acceptable use
You may not use the Services to violate law or third-party rights; submit unlawful, deceptive, defamatory, infringing, malicious, or harmful material; impersonate another person; interfere with security or operation; attempt unauthorized access; introduce malware; harvest personal information; send spam; reverse engineer protected functionality except where law prohibits restriction; or use the Services in a way that could harm SAGEX, its users, or its providers.
Sensitive and confidential information
Do not send protected health information, patient identifiers, clinical-trial subject information, source documents, medical records, government identification numbers, payment credentials, passwords, or confidential sponsor or protocol information through the public contact form or ordinary email. You are responsible for removing or redacting sensitive information before submission unless SAGEX has expressly approved a secure process in a separate written agreement.
Your submissions and feedback
You retain ownership of information you submit. You grant SAGEX a limited right to use, reproduce, and share that information only as reasonably necessary to respond, deliver requested Services, maintain records, protect the Services, and comply with law. SAGEX will not publish your name, testimonial, case study, logo, or confidential engagement details for marketing without appropriate permission. If you voluntarily provide general product feedback or suggestions without a confidentiality restriction, SAGEX may use them without compensation or obligation to implement them.
Intellectual property and trademarks
The Services and their original content, including text, graphics, branding, downloads, templates, frameworks, page design, and compilation, are owned by SAGEX Solutions LLC or used with permission and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
SAGEX™ and the SAGEX logo are trademarks of SAGEX Solutions LLC. You may not use SAGEX names, marks, logos, trade dress, or confusingly similar identifiers without prior written permission. Third-party names and marks belong to their respective owners. Reference to a third party does not imply endorsement, sponsorship, or affiliation unless expressly stated.
Third-party services and links
The Services may rely on or link to third-party platforms, payment processors, scheduling tools, websites, software, or resources. SAGEX does not control and is not responsible for third-party content, availability, terms, privacy, security, or conduct. Your use of third-party services is governed by their terms.
Refunds, cancellations, and rescheduling
Purchases and scheduled services are subject to the Refund & Cancellation Policy displayed on the site and any product-specific or engagement-specific terms presented before purchase. Where a separate signed agreement applies, that agreement controls.
Disclaimers of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, PUBLIC CONTENT, AND GENERAL DIGITAL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SAGEX DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SAGEX DOES NOT WARRANT THAT THE SERVICES WILL MEET EVERY REQUIREMENT, PRODUCE A PARTICULAR OUTCOME, OR REMAIN AVAILABLE AT ALL TIMES. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Warranties for a customized paid engagement, if any, are stated only in the applicable written agreement.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAGEX SOLUTIONS LLC AND ITS OWNERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON GENERAL CONTENT, UNAUTHORIZED ACCESS, THIRD-PARTY SERVICES, OR INTERRUPTION OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE WEBSITE, A GENERAL DIGITAL PRODUCT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SAGEX FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. This limitation does not apply where prohibited by law and does not modify a different liability allocation in a signed client agreement.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SAGEX Solutions LLC and its owners, managers, employees, contractors, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Services, violation of these Terms, misuse or unauthorized distribution of content, or infringement of another person's rights. SAGEX will provide reasonable notice of a covered claim and may control the defense and settlement.
Suspension and termination
SAGEX may suspend or terminate access to the Services, cancel a license, or remove submitted material when reasonably necessary to address a Terms violation, legal obligation, security risk, fraud, nonpayment, harm, or discontinuation of a Service. Provisions that by their nature should survive termination will survive, including intellectual-property, payment, disclaimer, liability, indemnification, governing-law, and dispute provisions.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent federal law applies. Before filing a claim, the parties agree to make a good-faith effort to resolve the dispute informally by written notice describing the issue and requested resolution. Unless applicable law requires otherwise, any unresolved action relating to these Terms or the Services must be brought in a state or federal court with jurisdiction in Broward County, Florida, and each party consents to that venue and personal jurisdiction. Nothing in these Terms waives a consumer right that cannot legally be waived.
General provisions
If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; SAGEX may assign them in connection with a reorganization, financing, sale, or transfer of the business. These Terms, incorporated policies, and any applicable written agreement are the entire agreement for their subject matter. Section headings are for convenience only. SAGEX is not liable for delay or failure caused by events beyond its reasonable control.
Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will post the revised Terms with a new last-updated date and provide additional notice when required. Changes apply prospectively unless law permits otherwise. Continued use after the effective date constitutes acceptance of the revised Terms.
